Terms of Service

1. Acceptance of Terms

By accessing this website or engaging the development services of Query Code Ltd (UK), you agree to comply with and be bound by these Terms of Service. If you do not agree, you must discontinue using our services and site immediately.

2. Payments & Engagement

Unless negotiated otherwise in writing, the following payment terms apply to all projects:

• Quotations: Quotations are valid for 30 calendar days from the date of issue.
• Payment Structure: A 50% non-refundable deposit is required before any development work begins. The remaining 50% is due immediately upon project milestone completion and prior to codebase delivery or production deployment.
• Currency: Invoices are issued in Great British Pounds (GBP) or United States Dollars (USD) as agreed in our scope document.

3. Contract Termination

• Termination by Client: The client may terminate a project with written notice. In such cases, any payments made (including the deposit) remain non-refundable to cover elapsed resource hours.
• Termination by Us: We reserve the right to suspend or terminate services if payments are overdue by more than 14 business days, or if the client is non-responsive for over 30 consecutive days.

4. Limitation of Liability

To the maximum extent permitted by UK law, Query Code Ltd shall not be liable for any indirect, incidental, or consequential damages, including loss of profits, data, or business opportunities, arising from the use or inability to use the delivered software. While we adhere to secure, clean development standards, server maintenance, security patching, and system backups are the sole responsibility of the client unless covered under an active SLA support contract.

5. Governing Law & Dispute Resolution

These Terms of Service are governed by and construed in accordance with the laws of England & Wales. Any disputes arising under or in connection with these terms shall first be addressed in good faith. If unresolved, disputes will be referred to the exclusive jurisdiction of the English Courts.
